The wireless industry has built more than 300,000 cell sites in the United States in the past 20 years. But many more cell sites are needed as iPhones®, iPads®, Droids and the like strain existing network capacity. More sites are needed to meet the government’s goal of using wireless to increase broadband speeds and coverage. At the same time, tower management companies are offering to buy existing cell leases and future leasing rights for large sums of money.

This topic helps level the playing field by providing private and municipal property owners with the expertise of two faculty members highly experienced in cell tower leases and sales. This will help property owners who usually are negotiating such leases or the sale of a lease for the first and only time, while the companies have teams of lawyers who work exclusively on such matters.

We will focus on key business issues in wireless site leases, including lease rates, who gets the revenues from additional antennas or carriers being co-located at a site, major rent increases for renewals and avoiding lease terms which can restrict or prevent an owner’s use or development of its own property or trigger a mortgage default. We also address the sale of cell leases and future leasing rights, including typical sale prices, when to sell, when it is generally not advisable to sell, how to get the best price and terms in a sale, and avoiding provisions that restrict the use or development of the underlying property. You will be better able to identify and resolve issues that are unique to wireless leases and sales, including what municipalities can include in a lease that cannot be included in a government-issued permit, site location and value, options on selling a lease, lease term and terminations, access requirements, interference regulation and mitigation, design and camouflage, and radio frequency emissions issues.

Jonathan Kramer and John Pestle, who are both national experts in selling cell tower leases, have teamed up many times over the years to present this very popular webinar.

Property owners with a lease for a cell tower or cell antenna on their property routinely receive six-figure offers to buy the lease and future leasing rights.

While attractive, those offers – typically structured as very long term or perpetual easements – pose unusual legal, financial, and technical risks that the property owner and its regular attorney typically are not familiar with. And unsolicited offers are usually too low – well below typical sales prices.

This webinar will guide cell site landlord/property owners and their attorneys as they evaluate and respond to such offers. It includes covering what drives the offers, typical prices, how to evaluate financial terms to determine whether selling makes sense (and when it doesn’t).

Webinar attendees will be better able to evaluate purchase offers, identify and modify the very one-sided documents offered by purchasers, and address some of the risks involved in a sale. Such risks include making sure the property owner is not hindered in developing or using its property, ensuring that future sums promised by the purchaser in fact are paid and the contract honored (and the sale terminated if they are not), insurance and bankruptcy protections, as well as questions as to the financial solvency of the buyer. These risks increase as the easement term increases (typically from 50 years to perpetual) given that the property owner continues to own the underlying property.

Government agencies face all of the preceding issues, plus special questions of municipal authority, compliance with municipal finance/procurement statutes, prohibitions on waste, and risks of accidentally triggering property reverters.

The National Association of Telecommunications Officers and Advisors (NATOA) organized a webinar titled, “Small Cell and DAS – What are they and how do local governments regulate them?” on April 13, 2015. In this webinar, Founder and Principal Attorney Jonathan L. Kramer explained how municipalities and wireless carriers can work together to achieve a win-win situation by providing carriers access to Right of Way, as well as a new revenue source for cities. Mr. Kramer explored what these technologies entail and how small cell technology can expand wireless network capacity, as well as the elements of an effective license agreement that is fair to both parties.

Jonathan L. Kramer Presents Webinar on New FCC Order, State and Local Laws Tax Relief and Job Creation Act of 2012

Founder and Principal Attorney Jonathan L. Kramer participated on the webinar, “New FCC Order Exempting Changes to Cell Towers, Communications Antennas from Zoning, other State and Local Laws Tax Relief and Job Creation Act of 2012,” hosted by the Association of Construction and Development, on Tuesday, February 3, 2015.

Mr. Kramer addressed Section 6409(a) of the 2012 Middle Class Tax Relief, as well as the many legal and technical issues under the Order, including what types of changes and modifications are covered, the differing rules for antennas on buildings, in highway and on camouflaged towers. The webinar provided practical guidance on how municipalities and providers can work together while the Order is being clarified by the courts.

The International Municipal Lawyers Association (IMLA) organized a complimentary webinar, “New FCC Rules on Cell Tower Zoning,” on January 14 featuring Founder and Principal Attorney Jonathan L. Kramer. Mr. Kramer explained the new rules regarding Section 6409(a), including what types of wireless tower modifications the rules apply to, time to act, the application process and transition periods. During the webinar, he focused on helping local government attorneys advise their internal clients on how to implement the new rules, such as the Shot Clock, the applicability of rules to cell sites on municipal property, the preemption of building or safety-related codes and more.
